An act to incorporate the Keystone Pleasure Fishing Club located at Mayville, Cape May county, New Jersey.

1. RE IT ENACTED by the Senate and General Assembly of the State of New Jersey, That John S. Riehl, David Pennocks, corporators Peter Fisher, A. H. Capper, James H. Keyser, J. G. Brueckmann, J. B. Ayres, Stephen Maguire, John Riehl, Sr., J. B. F. Fellows, Henry Perry, A. J. Bellows, George Rafferty, Edmund B. Reed, William Kirk, Jacob F. Wood, John Streeper, Jr., P. H. Brady, James Morrow, William J. Givins, Edward Armstrong, William H. Mills, Banner Thomas, Robert Cline, Benjamin Norman, John Huplett, John Magee, and such other persons as may be or may be hereafter associated with them, are hereby constituted a body politic and corporate and capable, under the name, style and title of the Keystone Pleasure Fishing Club, located at Mayville, Cape Corporate May county, state of New Jersey, to have perpetual succession name. with authority to lease, purchase, take and hold, by gift, grant, demise, devise or bequest, or any other lawful mode of conveyance any lands, tenements, goods, chattels, or estate, real, personal or mixed, and the same, or any part thereof, from time to time, may lease, sell, alien, mortgage, or otherwise

dispose of, and may have a common seal and the same alter or renew at pleasure, and by the style and title aforesaid shall be capable in law to sue and be sued, and the said association may make all needful rules, regulations, and bylaws for the management of the affairs of the corporation; provided, that the same shall not be repugnant to the constitution and laws of New Jersey.

2. And be it enacted, The object of the said corporation shall be for recreation and pleasure in fishing and gunning in the waters around Mayville and vicinity of Cape May county, New Jersey; provided, the members of said corporation do not infringe upon any of the laws of the state of New Jersey, and without prejudice to the rights of the state.

3. And be it enacted, The officers of the corporation shall be a president, vice-president, secretary, treasurer, and three trustees, who shall be elected annually by the members of the corporation in such manner as the by-laws may provide, and such other officers as may be deemed requisite; provid ed, that in case of failure at any time to elect officers those in office shall continue until their sucessors are chosen.

4. And be it enacted, The duties and rights of the memlated by by- bers of said corporation, the powers and functions of the offi cers thereof, the mode of supplying vacancies in office, times of meetings, the mode of qualifications, and terms of the admission or election of members, the causes which shall justify their expulsion, the manner of effecting the same, the mode and manner in which the property of said corporation shall be divided in case of a dissolution of said corporation or winding up its affairs, may be regulated by the bylaws and ordinances of said corporation.

5. And be it enacted, That this act shall take effect immediately.

CHAPTER CCXXXIII.

An act to incorporate "The South Jersey Telegraph
Company.'

1. BE IT ENACTED by the Senate and General Assembly of the State of New Jersey, That Seth Bowen, Thomas Hand, Names of Charles Stetham, Ebenezer Westcott, and Theophilus Trenchard, and their sucessors and associates, be and they are hereby created a body politic and corporate, in fact and in law, by the name, style and title of" The South Jersey Telegraph Company," and by that name may sue and be sued, and shall generally possess the powers and privileges of a corporation.

2. And be it enacted, That the capital stock of said corpo- capital ration shall be five thousand dollars, with the privilege of stock. increasing the same to thirty thousand dollars, and shall be paid in by the stockholders at such times and in such places and in such installments as the directors of said corporation may direct, and such shares shall be deemed personal property and shall be transferable only on the books of the corporation, and in such manner as the said corporation may prescribe.

3. And be it enacted, That the above persons, or a majori- commis ty of them, shall and they are hereby appointed commissioners to sioners to open books and receive subscription to the capital &c. stock of said corporation, at such times and places, and in such manner and amount, as they or a majority of them shall think proper, giving two weeks' previous notice in the newspapers, one in the city of Camden and the other in the city of Bridgeton, in this state, and as soon as one thousand dollars of the capital stock shall be subscribed to and paid in, the said commissioners or a majority of them are hereby authorized to hold its first meeting of the stockholders, and proceed to the election of seven directors, and such other officers as they may deem necessary to carry out the objects of said corporation, which directors shall be elected and hold

4. And be it enacted, That the said directors shall have power to establish such by-laws, rules and regulations as they may deem expedient; provided, the same shall not be inconsistent with the constitution and laws of this state.

5. And be it enacted, That the said corporation shall have struct and power to construct and maintain telegraph line or lines in certain tel- the counties of Cumberland, Cape May, Salem, Gloucester and Camden, in this state, and shall also have power to lay, maintain and construct and operate telegraph or magnetic lines and cables on lands under water, without prejudice to and with compensation to the state for such lands under water, and to connect them with other lines, in any of the counties aforesaid, and also to build and erect offices along their said lines, and also to construct the same over and along any public roads, streets or highways in said counties.

6. And be it enacted, That this act shall take effect immediately.

CHAPTER CCXXXIV.

An act to authorize John Rambo to make and maintain a dam to shut off Clonmel creek, in the county of Gloucester.

Preamble: WHEREAS, John Rambo is the owner of meadow land on both sides of Clonmel creek, in the county of Gloucester, from its mouth for a considerable distance up said creek; and whereas, the shutting off of said creek will materially enhance the value of his said meadow lands, which are now of comparatively little value, while it will not interfere with the navigation of said creek; therefore

1. BE IT ENACTED by the Senale and General Assembly of the Empower State of New Jersey, That it shall be lawful for the said John struct dam. Rambo to make and maintain a dam to shut off Clonmel

Creek, in the county of Gloucester, at or near the turn or end of the river bank and the upper side of said creek, and

in constructing said dam to put in a sufficient sluice for floodgate, if it be necessary.

CHAPTER CCXXXV.

An act to incorporate the Industrial Life Insurance Company of New Jersey.

1. BE IT ENACTED by the Senate and General Assembly of the State of New Jersey, That all such persons as shall become stockholders in the capital stock hereinafter mentioned, their survivors and assigns, are hereby made and constituted a body politic and corporate by the name of the Industrial Corporate Life Insurance Company of New Jersey, and by that name shall be known in law, and have power to sue and be sued, to defend and be defended in all courts, whether in law or equity; and by that name also, have, purchase, possess, and enjoy, and to them and their successors, lands, tenements and hereditaments, goods, chattels and effects, of what nature or kind soever, necessary for the purpose of this corporation; and the same to grant, demise, alien, and dispose of at pleasure for the benefit of said company; and may also have a common seal, and alter and renew the same at pleasure; and also to create and establish such by-laws and regulations as may seem necessary and expedient for the government of the said corporation, and put the same into execution; provided, the same be not contrary to the laws of Proviso. this state or of the United States.
