SHOPLIFICATION OF HOLDING COMPANY SYSTEM

Modification of Section 11 (b) (2) Order Previous order of the Commission entered pursuant to Section 11 (b) (2) directing registered holding company to terminate its status as a holding company by liquidation and dissolution, modified, the Commission finding that the conditions upon which the order was predicated do not exist.

Plan Under Section 11 (e)-Necessity-Fairness and Equity Plan filled pursuant to Section 11 (e) by a registered holding company providing for the reclassification of its outstanding classes of stock into a single class, the elimination of its sole remaining statutory public-utility subsidiary, and the transformation of the holding company into an investment company, held, necessary to effectuate the provisions of Section 11 of the Act and fair and equitable to the persons affected thereby.

This proceeding involves (a) an application for the modification of an outstanding order under Section 11 (b) (2) of the Public Utility Holding Company Act of 1935 (“Act”) directing Standard Power and Light Corporation ("Power"), a registered holding company, to liquidate and dissolve and (b) an application for approval of a plan, and amendments thereto, filed under Section 11 (e) of the Act which
