§ 4210. Who may enforce liability-In general. In the absence of provision to the contrary, the individual liability for corporate debts imposed upon the stockholders of a corporation by a charter, statutory or constitutional provision is solely for the benefit of, and directly to, creditors, and can only be enforced by them or by some. one representing them.87 The liability is not imposed for the benefit

The action to en force the individual liability of stockholders of a bank or trust company is properly brought in the name of the superintendent of banks rather than in the name of the corporation. The county treasurer is a proper party to an action to enforce the liability of stockholders of a bank which fails to pay a deposit of school funds made by school officials, but a failure to join him is not ground for reversal of a judgment against the stockholders, since the recovery is for his benefit. Black v. Special School Dist. No. 2, 116 Ark. 472, 173 S. W. 846, 1104.
