CHAPTER 554.

AN ACT to incorporate the Eminence Female Academy.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§1. That the literary institution heretofore established in the town of Eminence, Ky., shall hereafter be known as the Eminence Female Academy.

§ 2. That D. A. Porter, L. C. Freeman, William Harris, S. H. Colloway, and D. N. Forbes, as a board of trustees, and their successors, shall be a body politic and corporate, by the name and style of the Board of Trustees of the Eminence Female Academy..

§ 3. That said board of trustees, with the consent of the principal of said Academy, shall have power to direct the course of study, to appoint such assistant teachers as may be necessary to complete the course prescribed by said board, and to make all by-laws and regulations necessary for the management and control of said Academy.

§ 4. That the board of trustees shall elect, from their number, a president, and such other officers as may be necessary for the transaction of business; shall fill vacancies in said board (three members constituting a quorum;) shall, in case of the death or resignation of any principal they may employ or may discharge, appoint his or her successor; shall visit the Academy, attend the annual examinations, and give such counsel to the principal as the interest of the Academy may require.

§ 5. That the principal and teachers, with the consent of the board of trustees, confer degrees and grant diplomas, signed by the principal, teachers, and board of trustees, together with the seal of the Academy, which shall be as valid as those conferred by any other academy or college in this State: Provided, That no degree be conferred upon. any of the students but those who shall have completed the prescribed course of studies, passed a satisfactory examination, and who shall have maintained a good moral character.

§ 6. This act shall take effect from its passage.

CHAPTER 556.

AN ACT to amend an act, entitled "An act for the benefit of school district
No. 6, in Lincoln county," approved April 3, 1861.

Be it enacted by the General Assembly of the Commonwealth of
Kentucky:

§ 1. That an act, entitled "An act for the benefit of school district No. 6, in Lincoln county," approved April the 3d, 1861, shall be so amended that the provisions of

said act shall apply to school district No. 5 instead of No. 6, in said county.

§ 2. This act shall take effect from its passage.

CHAPTER 557.

AN ACT to amend the charter of the Farmers' Mutual Insurance Company. Be it enacted by the General Assembly of the Commonwealth of Kentucky:

That section seven of the charter of the Kentucky Farmers' Mutual Insurance Company be, and is hereby, amended, and power and authority given to the president and executive committee to invest any surplus or unemployed funds in such stock or bonds as they may approve, or to loan the said funds upon the deposit of approved stock, bonds, notes, or other personal security as collateral; all to be done under such regulations and restrictions as may be prescribed by by-laws passed in pursuance of this amendment.

CHAPTER 558.

AN ACT authorizing the county court of Warren county to hold a court of claims, and to fix the county levy.

WHEREAS, The county court of Warren county failed to hold its court of claims, and failed to fix the county levy at the time prescribed by law for the year 1862, on account of the occupation by the rebel army of Warren county at the time when said court should have been held; therefore, Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That it shall be lawful for the county court of Warren county to hold said court of claims, and fix the county levy for said county, at any time during the month of March, 1862.

§ 2. This act to take effect from its

passage.

CHAPTER 559.

AN ACT for the benefit of James H. Holladay, clerk of the Nicholas circuit

court.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That James H. Holladay, clerk of the Nicholas cir

cuit court, be, and he is hereby, allowed the further time of two years, from and after the passage of this act, to list and collect his fee bills, and the same shall be distrainable as now provided by law: Provided, That the said Holladay shall be liable to all the penalties now imposed by law for issuing and collecting illegal fee bills.

§ 2. This act to take effect from its passage.

CHAPTER 560.

AN ACT to authorize the trustees of the Baptist Church in Shelbyville to sell certain property.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That the trustees of the Baptist Church in Shelbyville be, and are hereby, authorized to sell and convey the title thereto to the purchaser the lot known on the plat of said town as No. 60, now held by them in trust.

§ 2. That said trustees are also authorized and empow ered to sell and convey their title to the lot upon which the Baptist Church lately stood, on Clear creek, near the place where the Shelbyville and Taylorsville turnpike crosses the

same.

§ 3. This act shall take effect from and after its passage. Approved March 14, 1862.

CHAPTER 561.

AN ACT to provide for transcribing the defaced and to supply the lost books in the office of the surveyor of Barren county.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That Wm. E. Munford and Wm. Sampson may examine the surveyor's office of Barren county, and upon such examination, report to the Barren county court what and how many books of entries, or surveys, or alphabets in said office ought to be transcribed, or how many have been lost and ought to be supplied; upon such report being made, it shall be the duty of the surveyor of Barren county to copy all such defaced or worn books mentioned in said report, in new books, and to supply such as may be lost. The copies thus made shall be diligently compared with the originals by said surveyor and such person as may be appointed for that purpose by the Barren county court, and such person shall report to said court that the comparison has been made, and that the new

books have been found to be correct, which report shall be entered upon the records of the said court; after which, all all copies taken from said new books and properly certified, shall be evidence in courts of the Commonwealth as though they had been taken from the original books.

§2. The county court of Barren county, at its court of claims, shall make proper and reasonable compensation for all services rendered under the provisions of this act, to be paid out of the county levy.

§3. This act shall take effect from and after its passage.

CHAPTER 566.

AN ACT to incorporate the Louisville Board of Trade.

Be it enacted by the General Assembly of the Commonwealth of Kentucky:

§ 1. That Thomas O. Barter, Charles Buchanan, Henry Corporators' Burkhardt, Benjamin F. Cawthorn, Abraham F. Clark, R. H. Cockrell, Abner Cooper, Biderman DuPont, Benjamin F. Guthrie, James Kennedy, Seward M. Lemont, William E. Robinson, Jacob L. Smyser, Jacob T. Weller, and their associates, are hereby created a body politic and corporate, with succession, under the name of the Louisville Board of Trade; and by that name may sue and be sued, implead and be impleaded, receive and hold property and effects, real and personal, by gift, demise, or purchase, and invest, or re-invest, or dispose of the same by sale, lease, or otherwise; said property so held not to exceed at any one time the sum of three hundred thousand dollars; may have and use a common seal, and make such rules and regulations and by-laws as may advance the commercial character of the city of Louisville, fix and determine just rules and customs among its business community, acquire and disseminate useful business information, and avoid and adjust, as far as practicable, the controversies and misunderstandings which may arise between individuals engaged in trade, when they have no acknowledged rules to guide them; such rules and regulations not to be contrary to the laws of the United States and the Commonwealth of Kentucky.

§ 2. That at any time hereafter the said corporation may, Transfer of by its by-laws, authorize a subscription of stock, in shares not exceeding one hundred dollars each, to an amount not exceeding the limit imposed in the first section, to be used for the promotion of the objects of the association, which said shares shall be transferable on the books of said corporation, in such manner as may be provided for by the by-laws of said corporation.

§ 3. Said Board of Trade shall not engage in traffic of any kind, or exercise any banking privileges; and the Legislature shall have power to repeal, alter, or amend this charter at any time.

§ 4. This act shall take effect from and after its passage.

CHAPTER 568.

AN ACT to incorporate Odd Fellows Hall Company, of Lexington. Be it enacted by the General Assembly of the Commonwealth of Kentucky:

Name and style

§ 1. That the subscribers to the articles of agreement for the purchase of Odd Fellows Hall, in the city of Lexing- ton, and other purposes, dated the 1st day of June, 1858, and now of record in the Fayette county court clerk's office, be, and are hereby, created a body corporate and politic, under the name and style of the "Odd Fellows Hall Company," with power to sue and be sued, plead and be impleaded, in same manner as other similar corporations are. They shall have the right, power, and authority to hold the property real and personal, embraced in said articles of ferred." agreement; to sell any of said property under the restrictions of such by-laws, rules, and regulations as they may adopt, in the manner pointed out in said article.

§2. The officers of said company shall consist of five managers or trustees, one of whom shall be elected by themselves as chairman, as provided for in said article. They shall be elected annually, as provided for in said agreement.

§3. The officers of said company are hereby authorised and empowered to transfer a share and shares of the stock of said company, as mentioned and described in said article to the purchasers and owners of the same, by certificates signed by the chairman and countersigned by the secretary, when the said share or shares are sold and transferred in accordance with the said agreement, and such by-laws as may be adopted by the subscribers and stockholders in said company; also to issue like certificates to the present owners of a share or shares.

§ 4. The legal title of the property embraced in said article shall be held by the officers of said company and their successors in office, duly elected, subject to the restrictions mentioned in said article, and in this act, and such by-laws as may be adopted.

§ 5. This act shall take effect from its passage.
